Terms of Service for SpiceRack

1. Acceptance of Terms

Welcome to SpiceRack. These Terms of Service ("Terms") constitute a legally binding agreement between you and SpiceRack ("we," "us," or "our") governing your access to and use of the SpiceRack mobile application and associated services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You represent and warrant that:

  • You are at least 13 years of age (or the age of digital consent in your jurisdiction)
  • You have the legal capacity to enter into these Terms
  • You will comply with these Terms and all applicable laws and regulations

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SpiceRack is a recipe management and cooking assistance platform that provides:

  • Pantry Management: Create and manage digital pantries to track your ingredients, stock, and inventory with barcode scanning capabilities
  • Recipe Management: Create, edit, store, and organize your recipes with images, ingredients, and step-by-step instructions
  • Grocery List: Maintain shopping lists and track purchases
  • AI-Powered Features: Access to an AI cooking assistant ("Sous Chef") powered by OpenAI for recipe generation, ingredient identification from photos, cooking advice, and conversational assistance
  • Pantry Sharing: Share your pantries with other users for collaborative cooking and household management
  • Cooking Sessions: Track your cooking progress with step-by-step guidance
  • Recipe Import: Import recipes from URLs
  • Image Upload and Management: Upload and store recipe photos
  • Cross-Device Sync: Synchronize your data across multiple devices (requires account)
  • Offline Functionality: Access and edit your content offline with automatic synchronization when reconnected

The Service is provided as-is and may be modified, updated, or discontinued at our discretion.

3. User Accounts and Registration

Account Creation

To access certain features of the Service, you must create an account. You may register using:

  • Email address and password
  • Google Sign-In
  • Apple Sign-In
  • Facebook Login

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Linking

You may link multiple authentication methods (email, Google, Apple, Facebook) to a single account. You must maintain at least one active authentication method. If you unlink all methods, you may lose access to your account.

Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Failure to do so may result in suspension or termination of your account.

4. User Responsibilities and Acceptable Use

Permitted Use

You may use the Service for lawful, personal, non-commercial purposes, including:

  • Managing your personal recipes and cooking information
  • Organizing your pantry and grocery shopping
  • Sharing pantries with household members, family, or friends
  • Using AI features to assist with cooking and meal planning

Prohibited Conduct

You agree NOT to:

Technical Restrictions:

  • Attempt to gain unauthorized access to the Service, other user accounts, or our systems
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our written permission
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
  • Interfere with or disrupt the Service, servers, or networks
  • Bypass or circumvent any security features, usage limits, or access controls
  • Use the Service to transmit viruses, malware, or harmful code

Content Restrictions:

  • Upload, post, or transmit any illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content
  • Violate any intellectual property rights of others
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload content containing personal information of others without their consent

Usage Restrictions:

  • Use the Service for any commercial purpose without our written authorization
  • Sell, resell, rent, or lease access to the Service
  • Use the Service to spam, advertise, or market products or services
  • Share your account credentials with others
  • Create multiple accounts to circumvent usage limits
  • Abuse AI features by submitting inappropriate, offensive, or harmful content

AI-Specific Restrictions:

  • Attempt to manipulate AI outputs for malicious purposes
  • Use AI features to generate harmful, illegal, or unethical content
  • Reverse engineer or extract AI model information
  • Exceed usage quotas through fraudulent means

Violation of these restrictions may result in immediate suspension or termination of your account and legal action.

5. Content Ownership and Licenses

Your Content

"Your Content" means any data, information, text, recipes, images, or other materials you upload, create, or store using the Service, including:

  • Recipes and cooking instructions
  • Ingredient lists and pantry information
  • Grocery lists
  • Photos and images you upload
  • Chat messages and conversations
  • Custom AI instructions and preferences

You retain all ownership rights to Your Content. We do not claim ownership of Your Content.

License to SpiceRack

By uploading or creating Your Content on the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display Your Content to provide the Service to you
  • Transmit Your Content to third-party service providers (such as OpenAI for AI features, Cloudflare for image hosting) as necessary to provide the Service
  • Create backups and copies for operational and security purposes
  • Generate derivative works (such as image thumbnails and resized variants) for display purposes

This license exists solely to operate and provide the Service to you and terminates when you delete Your Content or close your account, except for:

  • Content cached or stored in backups (which will be deleted in accordance with our retention policies)
  • Aggregated or de-identified data that cannot reasonably identify you

Content Shared with Other Users

When you share a pantry with other users:

  • You grant those users the ability to view and edit the shared pantry content
  • You understand that shared content may be copied or modified by other users with access
  • You are responsible for managing access and revoking sharing permissions
  • Other users may retain copies of shared content even after you revoke access

AI-Generated Content

Content generated by the AI assistant (recipes, suggestions, advice) is provided to you for your use. However:

  • AI-generated content may be similar or identical to content generated for other users due to the nature of AI models
  • We do not guarantee that AI-generated content is unique, original, or free from third-party rights
  • You are responsible for reviewing and verifying AI-generated content before use
  • We are not liable for any claims arising from your use of AI-generated content

Once AI-generated content is saved to your account, it becomes Your Content subject to the terms above.

Feedback and Suggestions

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution to you.

6. AI Features and Disclaimers

AI Service Provider

Our AI features are powered by OpenAI's language models. By using AI features, you acknowledge that:

  • Your chat messages, uploaded images, pantry data, and custom instructions are sent to OpenAI for processing
  • OpenAI's use of your data is governed by their API Data Usage Policies (as of our last update, OpenAI does not use API data to train models unless you opt in)
  • We do not control OpenAI's services and are not responsible for their actions or data practices

AI Limitations and Disclaimers

The AI assistant is a tool to assist with cooking and meal planning, but it is not infallible. You acknowledge and agree that:

Accuracy:

  • AI-generated recipes, suggestions, and advice may contain errors, inaccuracies, or outdated information
  • AI may misidentify ingredients from photos
  • AI-generated cooking times, temperatures, and measurements may be incorrect or unsafe
  • You are responsible for verifying all AI-generated content before use

Safety:

  • We are not responsible for any injury, illness, property damage, or allergic reactions resulting from following AI-generated recipes or advice
  • You must use your own judgment regarding food safety, cooking techniques, allergens, and dietary restrictions
  • AI does not provide medical, nutritional, or dietary advice suitable for individuals with health conditions or allergies

Reliability:

  • AI features may be unavailable due to technical issues, maintenance, or third-party service disruptions
  • AI responses may be delayed, incomplete, or nonsensical
  • We do not guarantee the quality, usefulness, or appropriateness of AI-generated content

Intellectual Property:

  • AI-generated recipes may be similar to existing recipes or protected works
  • We make no representations regarding the originality or intellectual property status of AI-generated content
  • You assume all risk related to the use of AI-generated content

Content Filtering:

  • We implement content filtering, but AI may occasionally generate inappropriate, offensive, or harmful content
  • You agree to report any problematic AI behavior to us

By using AI features, you agree to use them at your own risk and hold us harmless from any claims arising from AI-generated content.

7. Usage Limits and Quotas

To ensure fair access and prevent abuse, we impose usage limits on certain features:

AI Feature Quotas:

  • Recipe generation requests per time period
  • AI chat messages per time period
  • Image recognition requests per time period

Quota limits are subject to change and may vary based on your account type. Quotas typically reset on a periodic basis (e.g., monthly).

If you exceed your quota:

  • You will receive an error message indicating the limit has been reached
  • You must wait for the quota to reset or contact us for an increase
  • Attempting to circumvent quotas through multiple accounts or other means is prohibited and may result in account termination

We reserve the right to:

  • Modify quota limits at any time
  • Implement additional usage restrictions
  • Throttle or rate-limit requests to protect service availability

8. Pantry Sharing and Collaboration

Sharing Permissions

When you share a pantry:

  • You can invite other users via share links with configurable expiration dates and usage limits
  • You can assign roles (Owner, Editor, Viewer)
  • You can revoke access or remove members at any time

Shared Content Responsibilities

As a pantry owner, you are responsible for:

  • Managing who has access to your shared pantries
  • Understanding that members can view, edit, and delete content in shared pantries
  • Monitoring shared pantry activity and revoking access when appropriate

As a pantry member, you agree to:

  • Respect the owner's content and use shared pantries appropriately
  • Not abuse edit permissions by deleting or modifying content maliciously
  • Leave a shared pantry if you no longer need access

Data in Shared Pantries

Content in shared pantries is accessible to all members:

  • Members can export or copy shared content
  • Removing a member does not delete their local copies of previously synced data
  • Content may persist in members' offline storage even after access is revoked

9. Intellectual Property Rights

Our Intellectual Property

The Service and its contents (excluding Your Content), including but not limited to:

  • The SpiceRack name, logo, and branding
  • Software, code, and technology
  • Design, layout, and user interface
  • Documentation and help content

are owned by SpiceRack and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms. This license does not grant you any rights to:

  • Use our trademarks, logos, or branding without written permission
  • Copy, modify, distribute, or create derivative works of the Service
  • Use the Service for commercial purposes

Third-Party Content and Services

The Service may include:

  • Third-party libraries, frameworks, and open-source software (see attributions in the app)
  • Links to third-party websites or services
  • Integration with third-party APIs (OpenFoodFacts, social authentication providers)

These third-party services are governed by their own terms and licenses. We are not responsible for third-party content or services.

Copyright Infringement

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please contact us at [email protected] with:

  • A description of the copyrighted work you claim has been infringed
  • The location of the infringing material on the Service
  • Your contact information
  • A statement that you have a good faith belief the use is unauthorized
  • A statement that the information is accurate and you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

We will investigate and take appropriate action, which may include removing the content or terminating the user's account.

10. Third-Party Services and Integrations

The Service relies on and integrates with third-party services:

OpenAI:

  • Provides AI chat, recipe generation, and image recognition features
  • Your data sent to OpenAI is subject to their Privacy Policy and Terms of Service
  • We are not responsible for OpenAI's actions, service availability, or data practices

Cloudflare R2:

  • Provides image storage and content delivery
  • Uploaded images are stored on Cloudflare infrastructure and served via their CDN
  • Cloudflare's terms and privacy policies apply

Amplitude Analytics:

  • Provides usage analytics to help us improve the Service
  • Collects usage data as described in our Privacy Policy

Social Authentication Providers (Google, Apple, Facebook):

  • Provide OAuth-based sign-in
  • Your use of these services is subject to their respective terms and privacy policies

OpenFoodFacts:

  • Provides barcode product information (public, community-maintained database)
  • We are not responsible for accuracy or availability of product data

Third-Party Service Availability

We do not control third-party services and are not liable for:

  • Service interruptions, downtime, or discontinuation
  • Changes to third-party terms, pricing, or features
  • Data loss or security incidents at third-party providers
  • Inaccuracies or errors in third-party data

If a third-party service becomes unavailable, we may disable related features or seek alternative providers.

11. Image Uploads and File Storage

Upload Terms

When you upload images:

  • You represent that you own the image or have the right to upload it
  • You grant us the license described in Section 5 to store and process the image
  • Images are subject to file size limits (currently 16MB per image)
  • Allowed formats: JPEG, PNG, WebP

Image Processing

Uploaded images are:

  • Stored in cloud storage (Cloudflare R2)
  • Automatically resized to multiple variants (original, large, medium, small/thumbnail)
  • Processed to optimize file size and format
  • Accessible via public URLs on our content delivery network

Prohibited Image Content

You may not upload images that:

  • Contain illegal, pornographic, or obscene content
  • Violate intellectual property rights
  • Contain personal information of others without consent
  • Are harmful, offensive, or violate these Terms

We reserve the right to remove any images that violate these Terms.

Image Retention

Images are stored until:

  • You delete the associated recipe or content
  • You delete your account (though images may require separate cleanup)
  • We determine the image violates these Terms

12. Fees and Payment

SpiceRack is currently a free service. We do not charge fees for access or use of the Service.

In the future, we may introduce:

  • Premium subscription tiers with additional features or higher usage quotas
  • One-time purchases for specific features
  • In-app purchases

If we introduce paid features:

  • We will provide clear notice and pricing information
  • You will have the option to continue using free features or upgrade
  • Paid features will be subject to additional terms and conditions
  • Payments will be processed through your device's app store (Apple App Store, Google Play Store)

We reserve the right to change our pricing model at any time with notice.

13. Disclaimers and Warranties

No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability, fitness for a particular purpose, or non-infringement
  • Accuracy, completeness, or reliability of content (including AI-generated content, recipes, and cooking advice)
  • Uninterrupted, secure, or error-free operation
  • Freedom from viruses or harmful components
  • Data accuracy, preservation, or backup

Use at Your Own Risk

You acknowledge that:

  • You use the Service at your sole risk
  • We do not warrant that the Service will meet your requirements or expectations
  • Technical issues, bugs, and downtime may occur
  • Data loss may occur despite our best efforts
  • AI-generated content may be inaccurate, incomplete, or harmful

Food Safety Disclaimer

RECIPES AND COOKING ADVICE PROVIDED THROUGH THE SERVICE (WHETHER USER-GENERATED OR AI-GENERATED) ARE FOR INFORMATIONAL PURPOSES ONLY.

We make no representations or warranties regarding:

  • Food safety, cooking temperatures, or safe food handling practices
  • Allergen information or dietary suitability
  • Nutritional accuracy
  • Ingredient substitutions or equivalents
  • Cooking times, techniques, or results

You are solely responsible for:

  • Verifying food safety practices
  • Identifying allergens and dietary restrictions
  • Ensuring proper cooking temperatures and times
  • Inspecting ingredients for freshness and quality
  • Using your own judgment when following recipes

We are not liable for any foodborne illness, allergic reactions, injuries, or property damage resulting from recipes or cooking advice obtained through the Service.

Medical and Nutritional Disclaimer

The Service does not provide medical, nutritional, or dietary advice. Consult a qualified healthcare professional or registered dietitian for personalized advice, especially if you have:

  • Food allergies or intolerances
  • Dietary restrictions due to medical conditions
  • Special nutritional needs
  • Concerns about food safety or nutrition

Third-Party Content Disclaimer

We are not responsible for:

  • Accuracy of user-generated recipes or content
  • Product information from barcode lookups (OpenFoodFacts)
  • Content imported from third-party websites
  • Advice or information from other users in shared pantries

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Exclusion of Damages

WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Personal injury, property damage, foodborne illness, or allergic reactions resulting from use of the Service or following recipes or advice
  • Damages resulting from:
    • Unauthorized access to or alteration of your data
    • Third-party conduct or content (including AI-generated content)
    • Service interruptions, errors, or unavailability
    • Reliance on content or advice obtained through the Service
    • Data loss or corruption
    • Your failure to maintain account security

Cap on Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  • $100 USD, OR
  • The amount you paid us in the 12 months preceding the claim (currently $0 for free users)

Basis of the Bargain

You acknowledge that these limitations of liability are an essential element of the agreement between you and us, and that we would not provide the Service without these limitations.

Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless SpiceRack, its affiliates, officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your Content or any content you upload or share
  • Your violation of any rights of third parties
  • Any injury, illness, property damage, or other harm resulting from your use of recipes, cooking advice, or AI-generated content
  • Any claims related to shared pantries or collaboration features you use

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

This indemnification obligation will survive termination of these Terms and your use of the Service.

16. Termination

Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in the app settings
  • Contacting us at [email protected]

Upon termination, your access to the Service will cease, and your data will be deleted in accordance with our Privacy Policy and data retention policies.

Termination by Us

We may suspend or terminate your account and access to the Service, with or without notice, if:

  • You violate these Terms
  • You engage in fraudulent, abusive, or illegal activity
  • Your use of the Service poses a security or legal risk
  • You exceed usage quotas through fraudulent means
  • We are required to do so by law
  • We discontinue the Service

We are not liable for any loss or damage resulting from termination of your account.

Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • Your Content may be deleted (see Privacy Policy for retention details)
  • Sections of these Terms that by their nature should survive (including Sections 5, 6, 11, 13, 14, 15, 18, 19) will remain in effect
  • You remain liable for any obligations incurred before termination

Data After Termination

After account deletion:

  • Most of your data is permanently deleted from our servers
  • Some data may be retained in backups for a limited period
  • Uploaded images may require separate cleanup
  • Aggregated or de-identified data may be retained indefinitely
  • We cannot delete data previously shared with other users in shared pantries

17. Changes to the Service and Terms

Changes to the Service

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Add or remove features
  • Impose or modify usage limits and quotas
  • Change third-party service providers

We will make reasonable efforts to notify you of material changes, but we are not obligated to do so.

Changes to These Terms

We may update these Terms from time to time. When we make changes:

  • We will update the "Last Updated" date at the top of these Terms
  • We will notify you through the app or via email
  • For material changes, we may require you to accept the new Terms before continuing to use the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.

18. Governing Law and Dispute Resolution

Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to conflict of law principles.

Dispute Resolution

Informal Resolution: Before filing a legal claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration: If we cannot resolve the dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as modified by these Terms.

Arbitration Terms:

  • Arbitration will be conducted by a single arbitrator
  • The arbitrator's decision will be final and binding
  • The arbitration will take place in [Your Location] or remotely if agreed
  • Each party will bear its own costs and fees (unless the arbitrator awards otherwise)
  • You may seek relief in small claims court if the claim qualifies

Class Action Waiver: YOU AND WE AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

Exceptions to Arbitration

Either party may seek relief in court for:

  • Intellectual property disputes (copyright, trademark, trade secret, patent)
  • Claims of piracy or unauthorized access
  • Requests for injunctive or equitable relief

Jurisdiction

To the extent arbitration does not apply, you consent to the exclusive jurisdiction and venue of courts located in [Your County, State] for any disputes.

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, and communications.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver will be effective unless in writing and signed by us.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms or any rights under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, labor disputes, or failures of third-party service providers (including OpenAI, Cloudflare, or cloud infrastructure providers).

Export Controls

You agree to comply with all applicable export and import laws and regulations. You may not use the Service if you are located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, or if you are on any U.S. government list of prohibited or restricted parties.

Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us. You have no authority to bind us or make commitments on our behalf.

No Third-Party Beneficiaries

These Terms are for the benefit of you and us only. No third party has any right to enforce any provision of these Terms.

Notices

We may provide notices to you:

  • Through the app
  • Via email to the address associated with your account
  • By posting on our website

Notices are deemed received when sent (email) or posted (app/website).

Language

These Terms are drafted in English. If these Terms are translated into another language, the English version will prevail in case of any conflict or inconsistency.

Survival

Provisions that by their nature should survive termination will survive, including but not limited to: Content Ownership and Licenses, AI Features and Disclaimers, Disclaimers and Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and General Provisions.

Electronic Communications

You consent to receive communications from us electronically, including via email or in-app notifications. Electronic communications satisfy any legal requirement that communications be in writing.

20. Apple App Store Additional Terms

If you access the Service through the Apple App Store, the following additional terms apply:

  • These Terms are between you and SpiceRack only, not with Apple, and Apple is not responsible for the Service
  • Apple has no obligation to provide maintenance or support for the Service
  • In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the Service
  • Apple is not responsible for addressing any claims by you or any third party relating to the Service or your use of the Service, including: (i) product liability claims; (ii) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation
  • In the event of any third-party claim that the Service or your possession and use of the Service infringes that third party's intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of such claim
